The agreement between you and Commodity Express LLC covering this site and the Caravan service.

Who this agreement is with

These terms are between you and Commodity Express LLC, a Texas company that operates Caravan as a venture of Babar Khan Ventures. "Caravan", "we" and "us" below mean Commodity Express LLC. The company also trades as Commodity Distributor and as REDPartners and publishes group terms covering all of them. These terms are the specific ones for Caravan and they govern here.

They cover two things: your use of this website, and your use of the Caravan service if you become a client. By using either, you accept them. If you are agreeing on behalf of a company, you are confirming that you are allowed to.

What this website is

It describes what Caravan does and gives you a way to reach us. Prices shown are current starting prices and the cost comparisons are illustrative figures for a typical fragmented stack, labelled as such where they appear. They are not a quote and they are not a promise about what your business will pay or save.

Filling in a form or booking a call does not create a contract, a partnership or an obligation on either side. A relationship starts when there is a signed agreement.

What Caravan is

Caravan is one platform covering marketing and back office, and a team who operate it for you. We audit what you run today, build your funnels, pipelines and operations on Caravan, migrate your data across, and then run and improve it every month.

That is a service with people in it, not only software. It works when both sides do their part, and yours is: give us access to what we need, tell us what your business actually does, answer when a decision is yours to make, and keep paying for it. We will tell you plainly when something is waiting on you.

Your account

You are responsible for who you let into your account and for what they do there. Keep credentials secure and tell us promptly if you think someone has access who should not. You must be old enough to enter a contract and you must give us accurate information.

What you may not do

Do not use Caravan to break the law, and specifically do not use it to send messages you do not have the right to send. Beyond that: no unlawful, fraudulent, deceptive or harassing content, nothing that infringes someone else's rights, no malware, no attempts to get into parts of the system that are not yours, no probing or overloading the infrastructure, and no reselling or white-labelling the service as your own without a written agreement covering it.

We can suspend an account that is doing any of these, and we will tell you why.

Your contacts, and the consent behind them

This is the most important obligation in this document, so it gets its own section.

Every contact you load into Caravan, and every message the platform sends on your behalf, is yours. In the eyes of the law you are the sender, the advertiser and the party responsible, and we are the infrastructure. That means you confirm that you collected each contact lawfully, that you have the consent every message you send requires, that you keep the records to prove it, and that you honour opt-outs. Caravan records and honours opt-outs across the platform, but the underlying obligation is yours and we cannot carry it for you.

Concretely, and not exhaustively, this covers the Telephone Consumer Protection Act and the carrier rules for A2P messaging when you text people, and the CAN-SPAM Act when you email them. If you handle the personal data of people in the UK or the EU, you are the controller of it and we handle it for you as your processor, on your instructions.

If a regulator, a carrier or a person comes to us about a message sent from your account, we will tell you, and the indemnity below applies.

Text messages

Messages we send you are covered in the Privacy Policy and the short version is: only if you asked, never as a condition of buying anything, everything also sent by email, message and data rates may apply, reply STOP to end and HELP for help, and mobile numbers and consent records are never shared or sold to anyone for marketing or promotional purposes.

Messages your account sends are yours, under the section above. Commodity Express LLC holds the carrier registration the platform sends through and may require you to complete carrier registration steps of your own. We may refuse or stop traffic that puts that registration at risk, including traffic that generates spam complaints or that carriers block.

Fees

Plans start at the prices shown on the site and are billed monthly in advance. The build and the migration are included in the monthly price rather than charged as a separate implementation fee.

You can cancel at any time. Cancellation takes effect at the end of the billing period you have already paid for, and the service runs normally until then. We may change prices with reasonable notice, and a change never applies to a period you have already paid for.

You are responsible for taxes other than those on our own income.

Your data, and what happens if you leave

Your data is yours. We do not sell it, we do not use it to market to your customers on our own account, and we do not use it to train anything.

If you cancel, you can ask us for an export of your data and we will give it to you. We keep it for thirty days after the account closes so that an export is still possible, then we delete it, other than what we have to retain for legal, tax or accounting reasons.

Third-party services

Caravan connects to services we do not control, including payment processors, message carriers, and any tool you ask us to integrate. We choose them carefully and hold them to contracts, but we are not responsible for their acts, omissions, outages or their own terms. Where we link to a third-party site we do so for convenience and the same applies.

Intellectual property

The platform, this site, and everything in them that is ours stays ours. Nothing here transfers ownership of it. You get the right to use the service while you are paying for it.

What you put in stays yours: your data, your content, your brand. You give us only the permission we need to host it, process it and do the work you have asked us to do.

Third-party product names and logos shown on this site belong to their owners and appear for identification and comparison only. Their appearance is not an endorsement by them or an affiliation with them.

What we promise, and what we do not

We will do the work described here with reasonable care and skill, using people who know how to do it.

Beyond that, the service is provided as it is. We do not warrant that it will be uninterrupted, error-free or fit for a purpose you have not told us about, and we do not guarantee any business outcome. Nothing on this site or in a conversation with us is a promise of leads, revenue, savings or growth, and any figure we show you about a typical stack is an illustration rather than a forecast for your business.

Nothing in this section limits anything that cannot lawfully be limited.

What we are liable for

Neither side is liable to the other for indirect, incidental, special or consequential loss, or for lost profits, lost revenue or lost data, however it arises.

Our total liability to you for any claim is limited to the fees you paid us in the three months before the event that gave rise to it.

These limits do not apply to fraud, to wilful misconduct, or to anything else the law does not allow to be limited.

Indemnity

If someone brings a claim against us because of your content, your data, a message sent from your account, or your breach of these terms, you will cover our reasonable costs and any damages. We will tell you promptly about any such claim and let you take charge of defending it.

Ending the agreement

You can cancel at any time as described above. We can end the agreement if you break these terms and do not put it right within a reasonable time of us telling you, if you do not pay, or if continuing would put our carrier registrations or our providers at risk.

The sections that are meant to outlast the agreement do: what you owe, the liability limits, the indemnity, intellectual property, and governing law.

Changes to these terms

We may change these terms. The current version is always on this page with its date at the top, and material changes take effect from the start of your next billing period rather than immediately. Continuing to use the service after that means you accept them. If you do not, cancel.

Governing law

These terms are governed by the laws of the State of Texas, without regard to its conflict of laws rules, and the courts of Texas have jurisdiction.
